NewPoint’s Role: NewPoint was retained as financial advisor to assist the company in developing a capital structure
consistent with its strategic objectives. This involved the preparation of a detailed financial plan and its subsequent presentation
to potential investors, analysis of investor proposals and overseeing negotiations with the chosen financial partner.

move forward on its strategic growth plan, while minimizing the equity dilution to current shareholders.
